By submitting or publishing any content on SlotCycle.com (“User-Generated Content”), you accept and agree to the following terms and conditions for User-Generated Content.

We may without notice to you, but shall have no obligation to, refuse, edit, and/or remove Your Content that we determine in our sole discretion are unlawful, fraudulent, threatening, libelous, defamatory, obscene or otherwise objectionable, or infringing or violating any party’s intellectual property or other proprietary rights or these Terms and Conditions. We also reserve the right in our sole discretion to refuse, edit, and/or remove any content that may be deemed by any community to be inappropriate without providing you notice.

You represent to SlotCycle.com that you own all content you provide and/or have the unencumbered legal right to grant the above-referenced license with respect to all content you provide. You further represent to SlotCycle.com that such materials do not infringe any third-party copyrights or other third-party intellectual property rights or rights of privacy or publicity.

ACCESSING THE SITE AND ACCOUNT SECURITY

We reserve the right to withdraw or amend the Site, and any service or material we provide on the Site, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Site is unavailable at any time or for any period. We may, in our sole and absolute discretion, with or without notice, temporarily or permanently, restrict access to some parts or all of the Site, to users, including registered users.

Registration with SlotCycle.com

To place bids on this Site, purchase products on this Site, or use certain other functionality of the Site, You must complete our online registration form, thereby providing us with certain information, including, but not limited to, the user name or identification code to be used by You when You access this Site (Your ID), Your email address and Your credit card information to be used for any winning bids You may have or the Administrative Fee described below. In addition, to post Your Information on this Site, You must provide us with additional information, including, without limitation, a password (Password). You are responsible for, and bear the risk of, use of ID(s) and Password(s) assigned to You, whether or not such use is authorized by You, and SlotCycle.com shall have no responsibility for controlling or monitoring the use of user IDs and Passwords and no liability for any use (authorized or unauthorized) of IDs and Passwords. In connection with the operation and use of this Site and our services, You hereby authorize SlotCycle.com and any party claiming through SlotCycle.com, including other users, to rely upon any information and/or instructions set forth in any posting using the ID and Password assigned to You without making further investigation or inquiry and regardless of the actual identity of the individual transmitting the same.

You further authorize SlotCycle.com to use the information provided to conduct due diligence investigation(s) of You and your affiliates to determine whether you pose a risk of using SlotCycle.com illegally or inappropriately, each as determined by SlotCycle.com in its sole and absolute discretion. If we determine that You pose such a risk, we may in our sole and absolute discretion, with or without notice, temporarily or permanently, bar You from SlotCycle.com, disable Your ID and Password, or otherwise restrict Your access to some parts or all of the Site. You hereby release and hold harmless and agree to indemnify SlotCycle.com against any claims arising as a result of such investigation and determination.

Bidding and Accepted Offers

WHEN YOU HAVE AN OFFER ACCEPTED BY A SELLER OR HAVE THE FINAL WINNING BID IN AN AUCTION, YOU ENTER INTO A LEGAL CONTRACT WITH SLOTCYCLE.COM OR THE SELLER, AS SPECIFIED IN THE LISTING, TO PURCHASE THE GAMING EQUIPMENT OR ITEMS SUBJECT TO SUCH AUCTION. This contract is subject to the terms and conditions in these Terms of Use.

SlotCycle.com or the Seller reserves the right to set minimum bids and to withdraw any item from auction at any time, for any reason. Bids must be raised by the posted bidding increments. SlotCycle.com reserves the right to postpone, delay, interrupt, or cancel any auction for any reason, at any time.

Bidders or users tendering offers must be of at least legal age of their state of residence. Persons who are "minors" must use an agent such as a parent or legal guardian who is of at least legal age for the purpose of bidding.

Payment Terms

SlotCycle.com does not require a deposit, but does require payment in full upon billing. Any person who has an offer accepted or bids, wins, and does not send payment in a reasonable period of time, will lose the ability to purchase the items. Users who fail to claim their goods within 48 hours of the conclusion of the auction or accepted offer may also be subject to the Administrative Fee described below.

IF YOU ARE THE WINNING BIDDER IN AN AUCTION AND FAIL TO CLAIM YOUR ITEM WITHIN 48 HOURS OF THE CONCLUSION OF THE AUCTION, DESPITE THE DELIVERY OF REMINDER EMAILS TO THE ADDRESS IN YOUR USER PROFILE, SLOTCYCLE.COM RESERVES THE RIGHT TO CHARGE YOU A $95 ADMINISTRATIVE FEE FOR EACH WINNING BID YOU FAIL TO CLAIM (ADMINISTRATIVE FEE). This Administrative Fee, and any other payments You must make hereunder, may be charged to the credit card listed in Your user profile or funds on deposit in your SlotCycle Wallet. You may update Your credit card information (and other of Your Information) in your user profile.

All charges will be placed against the credit card or SlotCycle Wallet of record provided in the user file under Payment Information. Requests to split payment between credit cards can be submitted, however, no guarantee can be made that SlotCycle.com will be able to honor such requests and you agree that SlotCycle.com will not be held responsible for any losses arising from failure to do so.

Additionally, SlotCycle.com is a US based company and all transactions are in US Dollars which are converted to other currencies at the prevailing rates of exchange. By registering, you agree that you will not hold SlotCycle.com responsible for any costs arising from currency rate differentials or fluctuations in exchange rates and that any costs arising from such foreign currency transactions, whether payments or refunds, will be borne solely by the member.

You agree that all items purchased through SlotCycle.com will be used only for legal purposes, in accordance with all applicable laws and will be resold, distributed or transported only in accordance with applicable laws.

USE OF COOKIES

The Site uses “cookies” to help you personalize your online experience. A cookie is a text file that is placed on your hard disk by a web page server. SlotCycle.com makes no warranties or representations with respect to items sold on SlotCycle.com by partners or third parties (“Third-Party Items”). Any representations or warranties with respect to Third-Party Items are made directly by the third-party and not by SlotCycle.com.

For items identified in the listing as sold by SlotCycle.com, SlotCycle.com warrants that items sold on the Site will conform to the description of the item set out on the Site. You have seven (7) days from receipt of the item to claim that the item does not conform to the listing. If you do not provide notice within the seven days, the item is deemed accepted and SlotCycle.com shall have no further obligation or liability. Should you make a claim within the seven days and SlotCycle.com accepts your claim, your sole recourse is to either: (i) have SlotCycle.com replace the item with an item conforming to the original listing or (ii) receive a refund of the purchase price. The choice of remedy is at SlotCycle’s sole discretion. NO OTHER WARRANTY, EXPRESS OR IMPLIED, IS MADE BY SLOTCYCLE.COM.

EXCEPT AS PROVIDED ABOVE, SLOTCYCLE.COM PROVIDES ITEMS SOLD UNDER THIS SITE, THIS SITE AND ITS CONTENT "AS IS" AND WITHOUT ANY WARRANTY OR CONDITION, EXPRESS OR IMPLIED. Termination

These Terms of Use will remain in full force and effect until terminated by either You or SlotCycle.com. If You are dissatisfied with the terms and conditions set forth herein, Your sole remedy is to discontinue Your use of this Site. SlotCycle.com may terminate these Terms of Use or suspend Your access to all or part of this Site without notice, for any conduct that SlotCycle.com, in its sole and absolute discretion, believes is disruptive to this Site, is in violation of any applicable law or violates these Terms of Use.

General Compliance with Laws

You shall comply with all applicable laws, statutes, ordinances and regulations regarding Your use of this Site.

Notices

Except as explicitly stated otherwise herein, any notices under these Terms of Use shall be given to the address indicated below or by email to SlotCycle.com's customer support email address (in the case of SlotCycle.com) and to the email address You provide to SlotCycle.com during the registration process, or such other address as You may specify from time to time by updating Your user profile (in Your case) by clicking here. Notice shall be deemed given six hours after email is sent, or earlier if actually received earlier by the recipient, unless the sending party is notified that the email address is invalid. Alternatively, we may give You notice by certified mail or first class mail, postage prepaid, to the address provided to SlotCycle.com during any registration process (or updates thereto). In such case, notice shall be deemed given three days after the date of mailing.

No Waiver

The failure of SlotCycle.com to exercise or enforce any right or provision of these Terms of Use at any time will not constitute a waiver of such right or provision or of SlotCycle.com’s ability to enforce such right or provision at any other time.

Applicable Law

This Site is controlled by SlotCycle.com from its offices in Las Vegas, NV, USA. The laws applicable to the interpretation of these Terms of Use shall be the laws of the State of Nevada, USA and applicable federal law, without regard to any conflict of law provisions. SlotCycle.com makes no representation that the Content in this Site is appropriate for access outside of the State of Nevada. Those who choose to access this Site from outside Nevada do so on their own initiative and are responsible for compliance with local laws. You and SlotCycle.com irrevocably agree that venue and jurisdiction for any disputes arising hereunder lies exclusively in Las Vegas, Nevada, and You hereby submit to personal jurisdiction in Las Vegas, Nevada and waive any objection to venue, jurisdiction and forum non conveniens.

Indemnification

You agree to defend, indemnify and hold harmless SlotCycle.com, their affiliates, licensors and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms of Use or your use of the Site, including, but not limited to any use of the Site’s content, services and products other than as expressly authorized in these Terms of Use or your use of any information obtained from the Site.

You agree to indemnify SlotCycle.com for any claim brought against SlotCycle.com as a result of your User-Generated Content and any and all losses resulting from the invalidity or inaccuracy of your representation with respect to User-Generated Content.

Savings Clause

If any part of these Terms of Use is found by a court of competent jurisdiction to be unlawful, invalid or unenforceable, that part will be amended to achieve as nearly as possible the same economic effect as the original provisions, and the remainder of these Terms of Use will remain in full force.

All such trademarks, trade names and service marks are proprietary to SlotCycle.com and may not be used in connection with any product or service that is not SlotCycle.com's, in any manner that is likely to cause confusion among customers or in any manner that disparages or discredits SlotCycle.com, without SlotCycle.com's express written permission. All other trademarks, product names and company names and logos are the property of their respective owners. You agree not to change, obscure or delete copyright, trademark or other proprietary notices from any Content which You download or print.
